It All Starts with Connectivity
Terms of Use

Welcome to MemTrac™, a proprietary membership tracking and engagement platform operated by BlackWallStreet.org. This Terms of Use Agreement ("Agreement") is an in-depth legal document that governs every aspect of your access to and use of MemTrac™ and its comprehensive suite of services, functionalities, and digital resources (hereinafter referred to as the "Platform"). By accessing and utilizing the Platform, you indicate your full understanding, acceptance, and agreement to all the stipulations, responsibilities, and requirements herein. Non-acceptance of these terms necessitates immediate cessation of Platform use.

MemTrac™ is meticulously engineered to provide registered members with unprecedented access to real-time updates and tools. These include, but are not limited to, monitoring the latest membership statistics, receiving timely alerts on new initiatives, accessing a curated repository of educational lectures and workshops, and engaging with vibrant community forums. A distinct feature is the procurement and grants education center, which offers over 60 lectures and tutorials, empowering members to participate effectively in economic opportunities. Additionally, MemTrac™ integrates an advanced event management module and fosters deeper member interactions through dedicated communication spaces.

Eligibility to participate requires that users be 18 years of age or older and hold valid credentials issued by BlackWallStreet.org. Members must provide accurate, current, and complete information during registration and maintain the integrity of their personal credentials. Safeguarding account security is a personal responsibility, and any unauthorized activity should be immediately reported to BlackWallStreet.org’s Membership Services.

Use of MemTrac™ must always align with the community’s ethical standards and applicable laws. Activities that compromise system integrity, such as hacking, phishing, data scraping, or uploading harmful content, are categorically prohibited. Violations of these principles may lead to the suspension or termination of Platform access and may invite further legal action.

Intellectual property rights for all content available through MemTrac™—including documents, graphics, multimedia, and software—are the sole property of BlackWallStreet.org or its licensed partners. The Platform grants members limited rights to access and use these resources solely for personal, non-commercial engagement consistent with the organization’s mission. Unauthorized distribution, modification, or exploitation of any content is prohibited and may lead to legal recourse.

BlackWallStreet.org places a premium on data protection and user privacy. The Platform operates in accordance with a comprehensive Privacy Policy, which details the collection, handling, storage, and security of user data. Users, by continuing their engagement, consent to these practices and affirm their understanding of the privacy measures in place.

MemTrac™ is provided without warranties of any kind. BlackWallStreet.org disclaims all guarantees regarding uninterrupted access, error-free operation, or complete accuracy of content. Users assume full responsibility for risks associated with Platform use and agree that BlackWallStreet.org will not be held liable for any damages—direct, indirect, incidental, or consequential—that arise from such use.

This Agreement shall be governed by and construed in accordance with the laws of California. Any disputes will first undergo good-faith mediation efforts, failing which, they will be settled in the courts of California, to which users hereby submit.

BlackWallStreet.org reserves the right to amend these Terms of Use periodically. All amendments become effective upon their posting within the Platform, and continued use constitutes acceptance of the updated terms. Users are encouraged to review this Agreement regularly.

MemTrac™ Dormant Account & Usage Compliance Policy

1. Purpose and Scope

This policy establishes the official standards governing abandoned, inactive, or dormant MemTrac™ user accounts. It is designed to maintain data integrity, ensure responsible system usage, and support long-term resource conservation within the secure membership-management environment operated by BlackWallStreet.org. All users, subscribers, partners, and administrators are bound by this policy without exception.

2. Definition of Inactivity and Dormancy

A MemTrac account is considered inactive when a user has not logged in, accessed, or otherwise interacted with the platform for 60 consecutive days. A MemTrac account is considered dormant (abandoned) when a user has had no login, no access, and no activity of any kind for 120 consecutive days. Dormancy is determined solely by system-recorded access logs; external communications, verbal confirmations, membership activity outside of the MemTrac environment, or use of unrelated Black Wall Street platforms do not constitute MemTrac activity.

3. Automatic Account Removal After 120 Days

Upon reaching 120 days of continuous inactivity, a MemTrac account is automatically classified as abandoned and will be permanently removed from the secure system.

This process includes:

Immediate deletion of user data and stored records.

Termination of access credentials.

Removal from all internal reporting and membership verification structures.

Dissolution of any linked privileges or associated features.

This action is irreversible. Once removed, the account cannot be restored and must be re-purchased or re-issued as a new user account.

4. Data Conservation Measures

MemTrac employs strict data-hygiene protocols to maintain server efficiency, safeguard system performance, and uphold security obligations. Removing dormant accounts conserves protected storage resources and maintains operational clarity for active users. System-wide data optimization requires that unused records and abandoned user profiles be purged without exception once the dormancy threshold has been reached.

5. No Refund Policy

MemTrac enforces a strict, absolute, and non-negotiable no-refund policy for dormant or abandoned accounts.

Refunds, credits, prorations, reimbursements, or account transfers will not be issued under any circumstances, including—but not limited to—user inactivity, personal delays, operational oversight, misunderstanding of policy, or failure to log in for the required duration.

Users accept this condition at the time of account creation and agree that inactivity constitutes voluntary forfeiture of the account and all related privileges.

6. User Responsibility and Usage Expectations

It is the responsibility of every user to maintain active engagement with their MemTrac account. To prevent accidental inactivity or dormancy, users are strongly encouraged—and operationally expected—to:

Log in a minimum of twice within every 30-day cycle, and

Maintain awareness of time elapsed since last login.

Regular activity ensures accurate membership records, preserves system access, and supports the ongoing mission of secure, transparent, and accountable membership tracking across all Black Wall Street chapters and affiliates.

7. Notification Procedures

While MemTrac may issue courtesy reminders at 60 days of inactivity and again near the 120-day cutoff, the system is not obligated to provide notice. Failure to receive or acknowledge a notification does not exempt the account from removal. The responsibility to remain active rests solely with the user.

8. Reactivation After Dormant Removal

Once a dormant account is purged at the 120-day mark:

The account cannot be restored, reactivated, or reinstated.

Any historical data associated with the account is permanently deleted.

Users wishing to return must register for a new account and begin a fresh service term.

9. Administrative Enforcement

BlackWallStreet.org reserves the right to enforce this policy consistently and without exception. Automation, administrative review, and system-wide audits may be used to ensure compliance. Attempts to circumvent, delay, or contest dormancy removal will not be accepted.

10. Acceptance of Policy

By creating, accessing, or using a MemTrac account, the user acknowledges full understanding and acceptance of this Dormant Account & Usage Compliance Policy. Continued use of the platform constitutes ongoing agreement to all terms listed above.

For questions, clarifications, or reporting violations, contact memtrac@blackwallstreet.org.

By continuing to use MemTrac™, you acknowledge your full understanding and consent to these terms.
